Prospective InvestorsRed Paw Systems, Inc. is a high-technology startup. Red Paw Systems, Incorporated (Corporation) was incorporated under the laws of the State of Colorado on March 3, 2005. The following sets forth certain information that you should consider in deciding whether to invest in the Corporation. History. Red Paw Systems was formed to exploit the emerging need for automated, business and end-user PC backup solutions Products. Red Paw Systems is a software technology company. Our BackupBox Technology is currently bundled with external PC disk drives and/or with server platforms to provide an automatic, continuous backup solution for Microsoft Windows PC and laptop users. The software is entirely based on the Windows platform, supporting Microsoft Windows 2000 and later. With the unbundled BackupBox software, the user has the ability to easily create a virtual BackupBox units on either local storage or on any available network volume. While the BackupBox was originally conceived as a server-based backup product for PCs in small business networks, it has evolved into a complete line of automated backup solutions for individuals, as well as networked business PC users. The Personal BackupBox offers the individual PC user the ability to manage and protect one or more PC workstations and/or Microsoft WIndows-based server platforms. The BackupBox is "The Perfect Backup Solution" for any PC user. Our BackupBox technology transparently manages the entire backup process with zero user involvement. Installation is automatic and takes seconds, with only two clicks of the mouse -- one to accept the license agreement and the other to accept our privacy policy. Once installed, the BackupBox automatically ("automagically") begins creating a complete, restorable image of the PC’s system disk. This process continues whenever the PC is idle. The BackupBox stores all system disk information, including the operating system, application software, and user documents to the BackupBox storage unit or to user-defined, ‘virtual’ BackupBox storage. This approach provides the unique ability to fully restore a system from scratch, while retaining all installed applications and licenses, including Windows itself and program activations.The BackupBox addresses the legal requirements of government, medical (HIPAA), financial, and other regulated groups to maintain offsite storage of critical and secure data, like personal and financial records. This is accomplished through the use of portable, redundant BackupBox storage units. The software design includes an optional self-destruct timer so that the sophisticated user can force the data to become cryptographically unrecoverable after a preset time window if the failsafe is not reset. The BackupBox Recovery CD is based on tools licensed from Microsoft. The user inserts the BackupBox Recovery CD, restarts the computer, and selects the target restore disk. The recovery itself is fully automatic. Competitive Advantages. The BackupBox competitive product advantages are: (a) BackupBox Technology is ongoing and automatic; (b) The BackupBox is simple to use, taking less than one minute to install and no user interaction to operate; and, (c) The BackupBox is shipped with a Recovery CD capable of automatically restoring the user’s PC system, typically, in less than one hour. In addition to these key technical and competitive advantages, BackupBox Technology automatically performs ongoing, remote diagnostics of the PC hard disk(s) and notifies the user, department, or technical administrator of that system as soon as a drive shows symptoms of failure. BackupBox Technology is designed to be bundled with external hard disks and PC platforms. From a marketing perspective, BackupBox Technology is ideally suited to collaborate marketing and sales of disk drive, helping manufacturers of disk products to add value to their products. Market. The primary market for BackupBoxTM products is individual and networked business PC users. There is a critical need for a backup solution that really gets used and a restore that can be done by anyone when it is needed. The BackupBox addresses this critical need. BackupBox products are currently available for the personal/individual business users, small offices/home office businesses, small business networks, and medium-sized companies with business critical PCs. Competition. There are over 150 companies offering backup solutions ranging from freeware/shareware to sophisticated and expensive enterprise-class systems. Even Microsoft includes a backup program with every copy of Windows sold. While the traditional PC backup software market offers a full spectrum of products – none are fully automatic, continuous, and web-enabled. Today, the BackupBox is the only solution which does it all, automatically, all of the time. This is what makes the BackupBox Technology unique. Many traditional and emerging offerings appear to be automatic -- and they are, in the sense that they are scheduled to do their job at a specific time based upon user input. They often claim to backup files ‘as they are changed’ – especially the low cost network attached storage units and personal file servers. But look closer, and you will find that these products are only backing up user files (not the whole system, i.e., operating system, settings, desktop, activations, installed programs, etc.). BackupBox Technology is sector-based, so open files do not prevent complete backups. The BackupBox has access to everything on the disk --regardless of whether it is opened or closed. This means that low-level information like file tables and other non-file information are backed up and restored -- even files that were once deleted but not erased. No other backup solution offers this level of backup and restore. An interesting class of emerging solutions is online backup services. These, however, are still expensive and impractical for complete system backups. The BackupBox Technology forms a bridge from traditional backup solutions to emerging ones, allowing an intermediate, fast-access storage between the remote and local offsite storage. Additionally, the customer with a BackupBox Server product can take advantage of its redundant, portable storage units to create an offsite backup rotation strategy.
